Please read these Terms of Service ("Terms") carefully before using the Omniforge platform ("Service") operated by Omniforge ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using the Omniforge platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Omniforge is a multi-tenant business management platform that provides tools for workforce and operations management. The Service includes, but is not limited to, the following features:
- Timekeeping — Time clock, timesheets, time-off requests, break policies, and holiday management
- Boards — Kanban-style project boards, task management, and calendar views
- Leader Standard Work (LSW) — Checklist and template management for standardized management routines
- Scheduling — Calendar, dispatch, estimates, jobs, work orders, and invoicing
- Sales — CRM pipeline, lead tracking, meetings, and sales dashboard
- Fleet Management — Vehicle tracking, maintenance scheduling, insurance, budgets, and photo verification
- Equipment — Inventory tracking, equipment assignment, and categorization
- People — Employee directory, organizational chart, teams, and customer management
- Chat — Real-time messaging between team members
- Issues & Ideas — Issue tracking and ideation
- Feedback — Employee and customer feedback collection
- Reporting — Management reports and analytics
- Field Technician App — Mobile-optimized view for field operations and dispatch integration
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
3. User Accounts & Registration
To access the Service, you must create an account using a valid registration code provided by your organization's administrator. You are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your password and account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
Your account is associated with a specific tenant (organization) within the platform. Access to features and data is scoped to your tenant and governed by the role assigned to you by your organization's administrator.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Service, other user accounts, or related systems
- Upload or transmit malicious code, viruses, or any material that could harm the Service or other users
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to store or transmit content that is illegal, defamatory, obscene, or otherwise objectionable
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or provide access to the Service to third parties without our written consent
- Use automated tools (bots, scrapers) to access or extract data from the Service without authorization
We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these restrictions.
5. Intellectual Property
The Service, including its design, code, features, documentation, logos, and trademarks, is owned by Omniforge and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
6. Data Ownership & Portability
You retain all ownership rights to the data you and your organization's users submit to the Service ("Your Data"). We do not claim ownership of Your Data. By using the Service, you grant us a limited license to host, store, process, and display Your Data solely for the purpose of providing the Service to you.
You may request an export of Your Data at any time by contacting your organization's administrator or our support team. Upon termination of your account, we will make Your Data available for export for a reasonable period, after which it may be deleted in accordance with our data retention practices.
7. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available." We may perform scheduled maintenance, updates, or upgrades that temporarily affect availability. We are not liable for any downtime, data loss, or service interruption.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Omniforge and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of (or inability to use) the Service, regardless of the theory of liability.
Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.
9. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Your organization's administrator may also deactivate your account at any time. Upon termination:
- Your right to access the Service will cease immediately
- We may delete your account data after a reasonable retention period
- Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will remain in effect
10. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and may provide additional notice through the Service (such as a banner or notification). Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Omniforge operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of that jurisdiction.
